  1. GENERAL PROVISIONS<\/strong><\/li>\n<\/ol>\n

    This Public Offer Agreement<\/strong> (\u201cAgreement\u201d) constitutes a legally binding offer made by Herman Family Group LLC (Ukraine)<\/strong>, registered at 151 Zelena Street, Apt. 285, Lviv, Ukraine, and Herman Family Global USA<\/strong>, registered in the United States of America Registered 7901 4th ST N, STE 14845, St.Petersburg, Florida, 33702<\/p>\n

    Both entities act jointly as Joint Controllers<\/strong> within the Herman Family Group under the unified management and representation of Anastasia Herman<\/strong>.<\/p>\n

    This Agreement governs the provision of consulting, coordination, and organizational services in the field of assisted reproductive medicine<\/strong>\u2014including IVF, egg and sperm donation, surrogacy coordination, embryo transfer, and related legal and administrative support<\/strong> (collectively, the \u201cPrograms\u201d or \u201cServices\u201d).<\/p>\n

    Any individual or legal entity accepting this Offer (the \u201cClient\u201d) enters into a binding agreement with the Company. Acceptance constitutes full and unconditional consent to these terms.<\/p>\n

    1. LEGAL BASIS AND JURISDICTION<\/strong><\/li>\n<\/ol>\n

      This Public Offer is issued in compliance with:<\/p>\n

        \n
      • Articles 633\u2013641 of the Civil Code of Ukraine<\/strong> on public offers and adhesion contracts;<\/li>\n
      • EU Directive 2000\/31\/EC<\/strong> on e-Commerce and Regulation (EU) 910\/2014 (eIDAS)<\/strong>;<\/li>\n
      • Applicable U.S. commercial and privacy legislation<\/strong>;<\/li>\n
      • General international principles of good faith and fair dealing.<\/li>\n<\/ul>\n

        The Agreement meets the requirements of Ukrainian, European Union, and United States law<\/strong> concerning online contracting, consumer protection, and healthcare communication.<\/p>\n

          \n
        1. SUBJECT OF THE AGREEMENT<\/strong><\/li>\n<\/ol>\n

          3.1 The Company provides Clients with access to structured information about available Programs, including content, pricing, and terms, through email, digital communication, or other electronic channels.<\/p>\n

          3.2 All such communications\u2014proposals, quotations, and descriptions\u2014shall be deemed a Public Offer<\/strong> of services.<\/p>\n

          3.3 Acceptance occurs when the Client:<\/p>\n

            \n
          • Confirms participation by email or other written correspondence;<\/li>\n
          • Makes any payment, deposit, or prepayment to the Company; or<\/li>\n
          • Submits documents initiating a Program.<\/li>\n<\/ul>\n

            3.4 Upon acceptance, this Agreement is deemed concluded between the Parties without need for a separate written contract, unless requested by the Client.<\/p>\n

              \n
            1. NATURE OF SERVICES<\/strong><\/li>\n<\/ol>\n

              4.1 The Company provides coordination and administrative services in reproductive medicine, including:<\/p>\n

                \n
              • IVF and ART program coordination;<\/li>\n
              • Egg\/sperm donation management;<\/li>\n
              • Surrogacy coordination;<\/li>\n
              • Legal, translation, and logistics support.<\/li>\n<\/ul>\n

                4.2 The Company acts as an independent consultancy<\/strong>, not a medical provider. Medical services are performed by licensed clinics and specialists under their own professional liability.<\/p>\n

                4.3 The Company ensures all Programs are conducted ethically and lawfully under Ukrainian, EU, and U.S. standards.<\/p>\n

                  \n
                1. ACCEPTANCE AND ENTRY INTO FORCE<\/strong><\/li>\n<\/ol>\n

                  5.1 This Offer becomes binding upon any action showing acceptance, such as email confirmation, document submission, or payment.<\/p>\n

                  5.2 Acceptance has the same legal validity as signing a written agreement. Electronic communications, digital documents, or scanned confirmations constitute proper consent under eIDAS and equivalent laws.<\/p>\n

                    \n
                  1. PROGRAM DESCRIPTION, FEES, AND VALIDITY<\/strong><\/li>\n<\/ol>\n

                    6.1 Detailed Program descriptions, inclusions, and fees are provided electronically and form an integral part of this Public Offer.<\/p>\n

                    6.2 Prices are quoted in EUR<\/strong> or USD<\/strong> and include coordination and administrative costs, unless otherwise stated.<\/p>\n

                    6.3 Payments must be made via official invoices or approved channels. Payment signifies full acceptance of the current Program terms.<\/p>\n

                    6.4 Integrity of Package Offers.<\/strong>
                    \nEach Program is designed and priced as an integrated package offer<\/strong> comprising a defined set of services (for example, coordination, legal support, translation, transportation, surrogate management, etc.).
                    \nFor reasons of transparency, fairness, and operational integrity, the contents of a package cannot be divided, removed, or recalculated<\/strong> based on individual client preferences.
                    \nIf a Client believes certain components are unnecessary or not applicable, they may choose an alternative Program or package tier<\/strong> better suited to their needs.
                    \nPartial deductions or exclusions from an established package are not permitted.<\/p>\n

                    6.5 Hierarchy of Agreements.<\/strong>
                    \nIf, at the Client\u2019s request, the Parties later sign a separate written contract, that contract supersedes<\/strong> this Public Offer. All prior correspondence, offers, or proposals automatically lose their legal force<\/strong> unless expressly incorporated into the signed document.<\/p>\n

                    6.6 Updated Offers and Pricing.<\/strong>
                    \nThe Company may revise Program content, fees, or terms at any time. When the Client receives an updated offer, such version replaces all previous proposals<\/strong>. If payment has not been received under a prior offer before issuance of the new one, the former is deemed withdrawn<\/strong> and no longer binding.<\/p>\n

                    6.7 Offer Duration.<\/strong>
                    \nEach individual offer remains valid until replaced, withdrawn, or amended by the Company, or until thirty (30) days have elapsed from the date of dispatch, whichever occurs first.<\/p>\n

                    1. DATA PROTECTION AND CONFIDENTIALITY<\/strong><\/li>\n<\/ol>\n

                      7.1 Processing of personal and medical data complies with the Herman Family Group Data Protection and Privacy Policy<\/strong>, aligned with GDPR<\/strong>, Law of Ukraine \u201cOn Personal Data Protection\u201d<\/strong>, HIPAA<\/strong>, and CCPA\/CPRA<\/strong>.<\/p>\n

                      7.2 Data are used solely for program execution, client communication, and legal compliance.<\/p>\n

                      7.3 All personal, financial, and medical information shared between the Parties is confidential and protected by law.<\/p>\n

                        \n
                      1. LIABILITY AND DISCLAIMERS<\/strong><\/li>\n<\/ol>\n

                        8.1 The Company\u2019s role is advisory and organizational. It is not responsible for medical outcomes or success rates.<\/p>\n

                        8.2 The Company shall not be liable for:<\/p>\n

                          \n
                        • Medical or biological results beyond its control;<\/li>\n
                        • Delays or failures by third-party clinics or authorities;<\/li>\n
                        • Circumstances of force majeure (war, epidemics, regulatory changes, etc.).<\/li>\n<\/ul>\n

                          8.3 Nevertheless, the Company undertakes to act in good faith, maintain transparency, and safeguard Client interests.<\/p>\n

                            \n
                          1. GOVERNING LAW AND DISPUTE RESOLUTION<\/strong><\/li>\n<\/ol>\n

                            9.1 This Agreement is governed primarily by Ukrainian law<\/strong>, with reference to relevant principles of EU and U.S. international private law<\/strong>.<\/p>\n

                            9.2 Disputes shall first be resolved amicably. If unresolved, they shall fall under the jurisdiction of the competent courts of Ukraine<\/strong>, unless otherwise mutually agreed.<\/p>\n

                              \n
                            1. MISCELLANEOUS<\/strong><\/li>\n<\/ol>\n

                              10.1 This Public Offer is valid indefinitely and applies to all electronic communications and transactions after the effective date.<\/p>\n

                              10.2 The Company may amend or republish the Offer at any time; updated terms take effect upon publication or dispatch to Clients.<\/p>\n

                              10.3 Electronic documents, digital signatures, and email correspondence hold the same legal effect as signed originals.<\/p>\n

                              10.4 Headings are for convenience only and do not affect interpretation.<\/p>\n
